2. Important Risk Disclosure

Trading in financial markets, including through the use of automated trading systems (algos) facilitated by CustomRapid-47 Pvt LTD's platform, involves significant risks and a high probability of losing all of your invested capital. You should carefully consider your investment objectives, level of experience, and risk appetite before deciding to trade. The use of leverage can significantly amplify both gains and losses.

CustomRapid-47 Pvt LTD provides a platform that acts solely as an interface to connect you with your chosen broker and facilitate algo trading based on your selected strategies. We are not a registered broker-dealer or investment advisor and do not provide investment advice. CustomRapid-47 Pvt LTD is not responsible for any losses incurred as a result of using our platform, connecting with a broker, or utilizing any trading algorithms. All trading decisions and their outcomes are solely your responsibility.

3. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify CustomRapid-47 Pvt LTD immediately of any unauthorized access to or use of your account or any other breach of security. CustomRapid-47 Pvt LTD will not be liable for any loss or damage arising from your failure to comply with this security obligation.

You agree to provide accurate and complete information when creating your account and to update your information as necessary to keep it accurate and complete.

4. Brokerage Account Connection and Funds Management

CustomRapid-47 Pvt LTD facilitates the connection between your brokerage account and our platform. You are solely responsible for selecting a reputable and regulated broker and for maintaining sufficient funds in your brokerage account to support your trading activities. CustomRapid-47 Pvt LTD does not hold or manage your funds at any time.

You acknowledge that CustomRapid-47 Pvt LTD is not liable for the actions, omissions, or security breaches of your chosen broker. Your broker's terms and conditions also apply to your trading activities. You are responsible for understanding and complying with your broker's terms and conditions, including but not limited to margin requirements, trading hours, and order types.

5. Algo Trading Functionality and Strategy Execution

CustomRapid-47 Pvt LTD provides an interface through which you can subscribe to pre-built trading algorithms/strategies or create your own strategies. CustomRapid-47 Pvt LTD only executes trades based on the algorithms/strategies you select or create and connect to your broker. You are solely responsible for the selection, design, testing, and performance of your algorithms/strategies.

CustomRapid-47 Pvt LTD makes no representations or warranties regarding the profitability or performance of any algorithm/strategy. You acknowledge that algorithms/strategies can fail, and you may lose money as a result. CustomRapid-47 Pvt LTD is not responsible for any errors or malfunctions in the execution of your strategies by your broker.

You are responsible for monitoring the performance of your algorithms/strategies and ensuring they are functioning as intended. You understand that market conditions can change rapidly and that algorithms/strategies may not perform as expected in all market conditions.

6. Subscription Services

CustomRapid-47 Pvt LTD may offer subscription services that provide access to pre-built trading algorithms/strategies. The terms of your subscription, including the fees, duration, and access rights, will be governed by the subscription agreement you enter into when you subscribe.

CustomRapid-47 Pvt LTD reserves the right to modify or terminate its subscription services at any time, with or without notice. CustomRapid-47 Pvt LTD will not be liable to you or any third party for any modification, suspension, or termination of its subscription services.

7. Fees and Charges

CustomRapid-47 Pvt LTD may charge fees for using our platform, including but not limited to subscription fees, transaction fees, and data fees. A detailed schedule of fees and charges is available on our Pricing Page. We reserve the right to change our fees at any time, and we will provide reasonable notice of any changes.

You are responsible for paying all fees and charges associated with your use of our platform, including any fees charged by your broker.

8. Data Privacy and Security

We use industry-standard security measures to protect your data, but we cannot guarantee the security of your data. You are responsible for taking reasonable measures to protect your account credentials and other sensitive information.

9. Intellectual Property

The CustomRapid-47 Pvt LTD platform and its content, including but not limited to software, algorithms, data, and documentation, are protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our platform without our express written permission.

You retain ownership of any original strategies or algorithms you create using our platform, but you grant CustomRapid-47 Pvt LTD a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute your strategies/algorithms for the purpose of providing our services.

10. Acceptable Use

You agree to use the CustomRapid-47 Pvt LTD platform only for lawful purposes and in accordance with these Terms & Conditions. You agree not to use our platform:

• To engage in any illegal or fraudulent activity.
• To transmit any viruses, malware, or other harmful code.
• To interfere with or disrupt the operation of our platform.
• To attempt to gain unauthorized access to our platform or any user accounts.
• To use our platform to manipulate the market or engage in insider trading.

CustomRapid-47 Pvt LTD reserves the right to suspend or terminate your access to our platform if we believe you have violated these acceptable use terms.

11. Disclaimer of Warranties

CustomRapid-47 Pvt LTD provides its platform on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the performance, reliability, security, or suitability of our platform for your specific needs. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

CustomRapid-47 Pvt LTD does not warrant that our platform will be uninterrupted or error-free, that defects will be corrected, or that our platform is free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by law, CustomRapid-47 Pvt LTD shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our platform, including but not limited to losses resulting from trading activities, errors in algorithms/strategies, security breaches, or interruptions in service.

In no event shall CustomRapid-47 Pvt LTD's total liability to you exceed the amount of fees you have paid to CustomRapid-47 Pvt LTD in the twelve (12) months preceding the event giving rise to the liability.

13. Indemnification

You agree to indemnify, defend, and hold harmless CustomRapid-47 Pvt LTD and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of our platform, your violation of these Terms & Conditions, or your infringement of any intellectual property or other rights of any third party.

14. Termination

CustomRapid-47 Pvt LTD may terminate your access to our platform at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us.

Upon termination, you will no longer be able to access your account or use our platform. CustomRapid-47 Pvt LTD reserves the right to delete your account data upon termination.

15. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

16. Dispute Resolution

Any dispute arising out of or relating to these Terms & Conditions shall be resolved through binding arbitration in accordance with the rules of the Courts in Kerala. The arbitration shall be conducted in [Thrissur, Kerala].

The decision of the arbitrator shall be final and binding on both parties.

17. Changes to Terms

CustomRapid-47 Pvt LTD reserves the right to modify these Terms & Conditions at any time. We will provide notice of any changes by posting the updated Terms & Conditions on our website and/or by sending you an email. Your continued use of our platform after such changes constitutes your acceptance of the new Terms & Conditions.

18. Severability

If any provision of these Terms & Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

19. Waiver

No waiver of any provision of these Terms & Conditions shall be effective unless in writing and signed by CustomRapid-47 Pvt LTD.
