1. Acceptance of Terms and Regulatory Status

By accessing and using CustomRapid-47 Pvt LTD's ("CustomRapid") algorithmic trading interface and related services (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and all applicable laws and regulations in India.

CustomRapid is a technology service provider offering an execution interface and infrastructure for algorithmic trading; it is not a stockbroker, portfolio manager, research analyst, investment adviser, or intermediary registered with SEBI, any stock exchange, or any other securities regulator. Nothing on the Platform constitutes investment advice, portfolio management, or an offer, solicitation, or recommendation to buy or sell any securities or derivatives.

2. Important Risk Disclosure and Algo-Specific Risks

Trading in securities and derivatives, including trading through algorithmic strategies ("algos"), involves a high degree of risk and may result in the loss of your entire capital. You should carefully assess your financial situation, investment objectives, risk tolerance, and level of experience before using any algo or placing any trade. Use of leverage, margin, options, and derivatives can significantly magnify both profits and losses and may not be suitable for all investors.

You understand that:

• All trades are executed in your brokerage account in your name, through your selected SEBI-registered broker, based on instructions generated by algos you choose or configure.
• Past performance (including backtests, paper trading, or historical simulations) does not guarantee or indicate future performance.
• Algorithmic strategies can malfunction, behave unexpectedly in different market conditions, or fail due to market, technology, or connectivity issues.
• By using the Platform, you accept full responsibility for all trading risks, including market risk, technology risk, connectivity failures, exchange-level interruptions, and broker-side issues.

3. Nature of Services and No Advisory / No Assured Returns

CustomRapid provides: (a) a technology interface to connect your brokerage account to algo strategies, and (b) tools to build, test, deploy, and monitor such strategies.

CustomRapid does not:

• Provide investment, legal, tax, or financial advice.
• Give personalized recommendations or suitability assessments for any security, strategy, or product.
• Offer research reports or guaranteed/assured returns of any kind.

Any information, analytics, or performance metrics (live or historical) made available on the Platform are for informational and educational purposes only and should not be construed as advice or a recommendation. You agree that you will not represent to any third party that strategies accessed through CustomRapid are "SEBI approved," "SEBI certified," or guaranteed to generate profit.

4. User Eligibility and Compliance Responsibility

By using the Platform, you confirm that you are legally competent to contract under the laws of India and authorized to operate the linked brokerage account.

You are solely responsible for:

• Ensuring that your use of algos, including any co-location, API usage, and automated orders, complies with SEBI, exchange, and broker rules applicable to you (including any rules specifically governing retail participation in algorithmic trading).
• Understanding and complying with all circulars, guidelines, and rules issued by SEBI, stock exchanges, and your broker relating to algorithmic trading, risk management, and investor protection.

CustomRapid does not monitor your compliance with individual regulatory limits (such as exposure limits, product eligibility, or category-specific restrictions) and bears no responsibility for breaches.

5. User Accounts, Credentials, and Security

You are responsible for maintaining the confidentiality of your Platform login credentials and any authentication methods used to connect your brokerage account (including API keys, tokens, and two-factor authentication).

You agree to:

• Immediately notify CustomRapid of any unauthorized access or suspected compromise of your Platform account or brokerage API credentials.
• Log out after each session and implement reasonable security practices on your devices and networks.

CustomRapid is not liable for any loss arising from unauthorized use of your account resulting from your failure to maintain proper security over your credentials or devices.

6. Brokerage Account Connection and Funds Management

The Platform facilitates technical connectivity between you and one or more SEBI-registered brokers with whom you maintain trading accounts.

• All funds and securities reside with your broker; CustomRapid does not hold, receive, or handle client funds or securities at any time.
• Your relationship with your broker is independent of CustomRapid and governed solely by your broker’s agreements, policies, and risk disclosures.
• You are responsible for ensuring that your brokerage account has sufficient margin, limits, and approvals to execute orders generated by your algos.

CustomRapid is not responsible for any actions, omissions, order rejections, margin calls, or security breaches attributable to your broker or any third-party service provider.

7. Algo Trading Functionality and Strategy Execution

The Platform allows you to: (a) design or configure your own strategies, and/or (b) subscribe to or activate strategies made available on the Platform (where permitted).

• You are solely responsible for selecting, configuring, testing, enabling, disabling, and modifying algos.
• Before live deployment, you should validate any strategy using paper trading, backtesting, or other testing tools, and understand their limitations.
• CustomRapid only transmits strategy-generated orders to your broker’s systems; final execution, rejection, or modification of orders is controlled by your broker and the exchanges.

CustomRapid does not warrant that orders will be executed at particular prices or within specific timeframes, nor that the Platform will prevent all erroneous or unintended orders.

8. Regulatory Controls, Limits, and Interruptions

SEBI, stock exchanges, and brokers may impose additional conditions, approvals, or throttling mechanisms on algorithmic trading, including but not limited to risk checks, order limits, kill-switches, or pauses in trading.

• Your trading activity may be suspended, restricted, or terminated by your broker, exchanges, or regulators at their discretion in accordance with applicable rules.
• CustomRapid may implement risk controls (for example, max loss per day, max orders, or position limits) to support compliance or platform integrity, which may result in delay, rejection, or cancellation of orders.

CustomRapid is not liable for losses that arise due to regulatory actions, risk control triggers, or interruptions mandated by SEBI, exchanges, or brokers.

9. Subscription Services and Strategy Access

CustomRapid may offer paid or free subscriptions that grant access to specific features, data, or strategies. The pricing, benefits, duration, and renewal terms will be as specified at the time of subscription.

CustomRapid reserves the right to modify, suspend, or terminate any subscription plan, feature, or strategy at its discretion, including where required to comply with SEBI or exchange regulations or directions. Access to certain strategies or features may be restricted to specific categories of clients based on regulatory requirements or broker policies.

10. Fees and Charges

You agree to pay all fees and charges applicable to your use of the Platform, including but not limited to platform fees, subscription fees, usage-based charges, and any applicable taxes or levies.

You remain responsible for all fees, brokerage, statutory charges, and other amounts levied by your broker, exchanges, and regulators on your trading activity.

CustomRapid may revise its fees from time to time; continued use of the Platform after any fee change will constitute your acceptance of the revised fees.

11. Data Privacy, Access, and Security

CustomRapid will process your personal and trading data in accordance with its Privacy Policy (as updated from time to time).

By using the Platform, you consent to CustomRapid accessing and processing certain trading-related data received from your broker (such as order, trade, position, margin, and balance information) solely for the purpose of providing services, analytics, and risk controls.

While CustomRapid implements reasonable security measures, no system is completely secure. You acknowledge that transmission of data over the internet involves risks and agree that CustomRapid is not liable for security breaches beyond its reasonable control.

12. Intellectual Property and Strategy Rights

All software, interfaces, design, content, and documentation on the Platform are owned by or licensed to CustomRapid and are protected under applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, reverse-engineer, or create derivative works of the Platform or its components.

You retain ownership of any original strategies or configurations you create on the Platform. By using the Platform, you grant CustomRapid a non-exclusive, worldwide, royalty-free license to host, process, and use such strategies solely for the purpose of providing services to you (and, where you explicitly opt in, for anonymized analytics and improvements).

13. Acceptable Use and Prohibited Activities

You agree not to use the Platform:

• To engage in any activity that violates any law, regulation, SEBI circular, or exchange/broker rule.
• To attempt market manipulation, insider trading, front-running, spoofing, layering, or any other abusive trading practice.
• To interfere with the security, integrity, or performance of the Platform, or to attempt unauthorized access to any systems or data.
• To resell, sublicense, or provide unauthorized access to the Platform to any third party.

CustomRapid may suspend or terminate your access with immediate effect if it believes, in its sole discretion, that your use is unlawful, abusive, or non-compliant with these Terms or with regulatory requirements.

14. Disclaimer of Warranties

The Platform and all related services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory.

CustomRapid expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranties arising out of course of dealing or usage of trade. CustomRapid does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) any defects or errors will be corrected; or (c) the results obtained from using the Platform will be accurate, profitable, or reliable.

15. Limitation of Liability

To the maximum extent permitted by law, CustomRapid and its directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of the Platform, including but not limited to trading losses, loss of profits, loss of data, or business interruption.

If, notwithstanding the foregoing, CustomRapid is found liable to you for any damage or loss, the total aggregate liability of CustomRapid shall not exceed the total fees paid by you to CustomRapid for use of the Platform during the twelve (12) months immediately preceding the event giving rise to such liability.

16. Indemnification

You agree to indemnify, defend, and hold harmless CustomRapid and its officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of or access to the Platform.
• Any violation of these Terms.
• Any violation of applicable laws, SEBI regulations, exchange rules, or broker policies by you.
• Any claim that your strategies, data, or content infringe the rights of any third party.

17. Termination and Regulatory Suspension

CustomRapid may suspend or terminate your access to the Platform, in whole or in part, at any time, with or without notice, including where required by applicable law, SEBI, exchanges, or brokers, or where CustomRapid reasonably suspects misuse or non-compliance.

You may terminate your account at any time as per the process specified on the Platform. Termination will not affect any rights or obligations accrued prior to termination, including fee obligations or outstanding trades in your brokerage account.

18. Governing Law and Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India.

Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts and, where applicable, arbitration forums in Thrissur, Kerala, India, as per applicable law. Nothing in this clause shall limit the right of CustomRapid to seek interim or injunctive relief from any court of competent jurisdiction.

19. Changes to Terms

CustomRapid may amend or update these Terms & Conditions from time to time, including to reflect changes in law, SEBI or exchange regulations, or business practices. Revised Terms will be posted on the Platform and may be notified to you by email or in-app notice. Your continued use of the Platform after the effective date of any changes shall constitute your acceptance of the revised Terms.

20. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default, and any waiver must be in writing and executed by an authorized representative of CustomRapid.
